WoodWatch Limited – Terms of Service
OVERVIEW
WoodWatch Limited (“WoodWatch,” “we,” “us,” or “our”) provides smart leak detection systems and monitoring services to property owners. These Terms of Service govern your use of our hardware, installation services, monitoring platform, and ongoing support.
By purchasing, leasing, or using our services, you agree to be bound by these terms. If you do not agree to all terms and conditions, you may not use our services.
SECTION 1 – LEAK DETECTION SYSTEM DISCLAIMER
IMPORTANT: While our system is designed to detect moisture changes that may indicate water leaks, no leak detection system can guarantee 100% detection of all leaks under all circumstances.
Factors affecting detection performance include:
- Distance between sensor location and leak source
- Type, severity, and rate of leak development
- Building material characteristics and moisture absorption
- Environmental conditions (humidity, temperature)
- Sensor calibration and system maintenance
- Floor levelness and water flow patterns
You acknowledge that:
- Our system is a monitoring and early warning tool
- Regular property inspections remain your responsibility
- You should not rely solely on our system for leak detection
- Professional assessment may be required to verify leak sources
- Some leaks may not be detected within any specific timeframe
SECTION 2 – SYSTEM PURCHASE AND LEASE TERMS
2.1 Purchase Option
- System purchase price: $1,250 NZD
- Professional installation: $250 NZD
- Monitoring subscription: $10.00 NZD/month (first 24 months included)
- System ownership transfers to customer upon full payment
2.2 Lease Option
- Installation fee: $250 NZD (payable at installation)
- Monthly lease payment: $35 NZD
- Minimum lease term: 36 months
- Early termination fee: $300 NZD
- System remains property of WoodWatch Limited
2.3 Payment Terms
- Installation fee due at time of installation
- Monthly payments via direct debit on agreed date
- Late payment fee: $20 NZD per occurrence
- Failed payment fee: $20 NZD plus bank charges
SECTION 3 – INSTALLATION AND SYSTEM SETUP
3.1 Installation Services
- Professional installation by WoodWatch Limited or authorized contractors
- Typical installation time: 1.5-3 hours
- Installation includes system setup, calibration, and customer training
- Customer must provide safe property access and disclose known hazards
3.2 Installation Requirements
- Access to standard power outlet for control module
- Cellular coverage at installation location
- Clear access to sensor placement areas
- Customer presence during installation for system walkthrough
3.3 System Ownership (Lease Customers)
- System remains property of WoodWatch Limited during lease term
- Customer responsible for reasonable care of equipment
- Unauthorized removal, modification, or tampering prohibited
- Damage due to misuse, neglect, or tampering is customer’s responsibility
SECTION 4 – MONITORING SERVICES AND DATA
4.1 Monitoring Platform
- 24/7 automated monitoring of sensor data
- Web portal access for real-time and historical data
- Email and SMS alert notifications
- Data retention for duration of service agreement
4.2 System Alerts
- Automated alerts sent via email/SMS when thresholds exceeded
- Customer responsible for responding to alerts appropriately
- False alerts may occur due to environmental factors
- Professional verification recommended before major action
4.3 Data Collection and Privacy
- System collects moisture, temperature, and humidity data
- Data used for monitoring, analysis, and service improvement
- Privacy practices governed by our Privacy Policy
- Customer data not shared with third parties except as legally required
SECTION 5 – PROPERTY ACCESS AND MAINTENANCE
5.1 Access Rights
- Customer grants reasonable access for installation, maintenance, and service
- 72-hour notice provided for non-emergency access
- Emergency access permitted for system recovery or safety issues
- Customer or authorized representative must be present during access
5.2 System Maintenance
- WoodWatch responsible for system performance during warranty/lease period
- Customer responsible for maintaining clear sensor access
- System calibration and updates performed remotely when possible
- On-site service available for hardware issues
SECTION 6 – WARRANTIES AND PERFORMANCE GUARANTEE
6.1 Limited Hardware Warranty
- 3-year warranty on materials and workmanship defects
- Warranty covers repair or replacement at our discretion
- Warranty void if system modified or tampered with
- Normal wear and environmental damage excluded
6.2 Service Level Commitment
- 99% system uptime target (excluding scheduled maintenance)
- Data uploaded hourly from sensors to monitoring platform
- Alerts triggered after 3 consecutive hourly readings exceed thresholds (approximately 3 hours)
- Customer support response within 24 hours during business hours (9am-5pm weekdays)
- On-site service within 5 business days when required
SECTION 7 – LIABILITY AND RISK ACKNOWLEDGMENT
7.1 Important Liability Notice
PLEASE READ CAREFULLY: WoodWatch Limited is a startup technology company. While we stand behind our products and services, you acknowledge that:
- We are not currently covered by professional indemnity insurance
- Our financial capacity to cover large claims is limited
- You assume certain risks by using our early-stage technology
7.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Total liability limited to the total amount paid for our services
- No liability for consequential, indirect, or special damages
- No liability for property damage unless directly caused by our hardware negligence
- No liability for costs arising from false alerts or system investigations
- Claims must be notified within 12 months of incident
7.3 Risk Acknowledgment
You acknowledge and accept that:
- This is an emerging technology with inherent limitations
- You should maintain existing leak detection practices alongside our system
- Professional water damage assessment is recommended for any alerts
- You should not rely solely on our system for property protection
- Regular property inspections remain essential
7.4 Consumer Rights Protection
Nothing in this agreement excludes:
- Rights under Consumer Guarantees Act 1993
- Liability for death or personal injury from our negligence
- Any rights that cannot be excluded by law
- Our obligation to provide services with reasonable care and skill
SECTION 8 – SYSTEM TRANSFER AND PROPERTY SALE
8.1 Property Sale (Purchase Customers)
- System ownership transfers with property sale
- New owner may continue monitoring service or cancel
- Transfer requires notification and account setup for new owner
- Proof of property ownership required
8.2 Property Sale (Lease Customers)
- Lease may transfer to new property owner with their agreement
- Original lessee remains liable unless formal transfer completed
- Early termination fee applies if lease not transferred
- New owner must meet standard approval criteria
SECTION 9 – TERMINATION
9.1 Termination by Customer
Purchase Customers:
- May cancel monitoring service with 30 days notice
- No termination fees for monitoring service cancellation
- Hardware warranty continues per terms
Lease Customers:
- Early termination results in $300 NZD fee
- Equipment must be made available for removal
- Outstanding payments due immediately
9.2 Termination by WoodWatch
- May terminate for breach of terms with 30 days notice
- Immediate termination for non-payment after 3 missed payments
- Equipment removal at customer’s expense if lease terminated for cause
SECTION 10 – TECHNICAL REQUIREMENTS
10.1 Connectivity Requirements
- Adequate cellular coverage for 4G connectivity required at installation location
- System operates independently of customer’s WiFi network
- Cellular data costs included in monitoring fee
- Installation may not be suitable for areas with poor cellular coverage
10.2 Power Requirements
- Standard 240V power outlet required for control module
- Uninterrupted power supply recommended for optimal performance
- Customer responsible for maintaining adequate power supply
- System may not function during power outages
SECTION 11 – GENERAL TERMS
11.1 Modifications to Service
- WoodWatch may modify services with 30 days notice
- Price changes require 60 days notice
- Material adverse changes allow customer termination right
- System updates and improvements included in service
11.2 Governing Law
- Governed by New Zealand law
- Hamilton District Court jurisdiction for disputes under $350,000
- Parties encouraged to attempt mediation before litigation
- Consumer dispute resolution services available
